THIS IS A LEGALLY BINDING AGREEMENT BETWEEN YOU AND WBS MATES SP. Z O.O.  REGARDING THE USE OF WWW.WBSMATES.COM WEBSITE AND ITS RELATED SERVICES.

(hereinafter referred to as “Agreement”)

WBSmates.com is a social networking service that allows Members to create personal and project profiles online. WBS Mates Sp. z o.o. (hereinafter referred to as “WBSmates”) provides its Website, www.wbsmates.com (hereinafter referred to as the "Website"), and its related services (hereinafter referred to as “Services”) to you subject to the following Terms of Service (hereinafter referred to as "Terms"). Please read these Terms carefully before using the Website and/or Services.

By accessing, viewing, signing up to, or otherwise using the Website and/or Services you agree to follow and be bound by the following Terms. If you do not agree to these Terms, please do not access, do not view, do not sign up, and do not use the Website and/or Services in any manner. Any kind of use or display of any information on the Website by you or by a third party on your behalf constitutes your acceptance of this Agreement. If you do not agree with this Agreement, you should leave the Website and discontinue use of Services immediately.

Eligibility

WBSmates makes no representation that the Website and its related Services are appropriate in all countries, territories and locations. Use of the Website and/or Services is void where prohibited. You are responsible for using the Website and/or Services in a legal manner and you must not violate any applicable laws or regulations in your jurisdiction (including but not limited to copyright laws and export and import regulations). By using the Website and/or Services, you represent and warrant that your use of the Website and/or Services does not violate any applicable law or regulation.

Your Account

To fully use the WBSmates social network and its related Services you need to sign up using your legal full name, localization, and a valid email address, in order to create your personal account (hereinafter referred to as “Account”), and become a member of the WBSmates social network community (hereinafter referred to as “Member”). You will be asked to confirm your registration in a mail sent to this email address, in order to activate your Account and start using the Website as a Member (hereinafter referred to as “Membership”). It is not permitted to create accounts by automated methods or scripts. It is not permitted to impersonate any person, project or entity, or falsely state or otherwise misrepresent yourself or your affiliation with any person, project or entity.

In the event that WBSmates, in its sole discretion, considers that you are making any illegal and/or unauthorized use of the Website and/or Services, and/or your use of the Website and/or Services is in breach of these Terms, WBSmates reserves the right to take any necessary action, including restricting, suspending or deleting your Account with or without notice and, in the case of illegal use, take appropriate legal actions.

Password and Member Account Security

When you sign up to become a Member, you will also be asked to enter your personal password. You are solely responsible for maintaining the confidentiality of your password. Password must be at least 6-character long, including letters and digits.

It is not permitted to use the Account, mailbox, or password of another Member at any time, or to disclose your password to any third party, or to sell or otherwise transfer your Account to any third party. You agree to immediately notify WBSmates if you suspect any unauthorized use of your Account or if you believe that your password could have been disclosed, intentionally or not, to any third party.

WBSmates suggests to change your password from time to time (you can do it using “Edit my profile” function), and reserves the right to enforce password change at any time, or to introduce obligation to periodically change your password.

You agree to signout (Logoff) after each use of the Website and/or Services.

Your Activity

You are solely responsible for any and all the activity associated with your Account. WBSmates reserves the right to suspend or delete Accounts which have been inactive for an extended period of time.

Member Conduct

You are solely responsible for your interactions with other Members. It is not permitted to use the Website and/or Services for any illegal, dishonest, or harmful purpose. WBSmates assumes no responsibility for monitoring the Website and/or Services for inappropriate conduct. WBSmates assumes no responsibility for the conduct, whether online or offline, of any Member.

Content

You are solely responsible for any and all your messages, blog and forum posts, comments, information, communications, articles, advertisements, profiles, questions, files, photos, pictures, logos, and any other information of any type (hereinafter referred to as “Content”), that you publish, provide, upload, transmit, enter, or send (hereinafter referred to as “post”) to or through the Website and/or Services, or to any Member.

By posting any Content to the Website and/or Services you automatically grant and you represent and warrant that you have the right to grant, to WBSmates, a perpetual, royalty-free, irrevocable, transferable, fully-paid, global, non-exclusive right and license to use, reproduce, modify, adapt, display, publicly display, perform, publicly perform, publish, promote, translate, create derivative works from, sublicense, transfer, and distribute such Content, or incorporate such Content in any form, medium, or technology.

By posting any Content to the Website and/or Services you automatically represent and warrant that the posting of your Content to the Website and/or Services does not violate the privacy rights, publicity rights, copyrights, contract rights, trademark rights or any other rights of any person or entity.

It is not permitted to post any Content that is a copyrighted material, trademarks, or other proprietary information belonging to others without obtaining the prior written consent of the owner of such Content. If you believe that your copyrighted material has been copied and posted to the Website and/or Services in a manner that constitutes copyright infringement, then please send an email to abuse@wbsmates.com. WBSmates assumes no responsibility for monitoring the Website and/or Services for inappropriate Content.

It is not permitted to post any Content that is unlawful, false, misleading, dishonest, inaccurate, deceitful, defamatory, spam-like, harassing, harmful to persons or computer systems, confidential, fraudulent, threatening, vulgar, pornographic, sexually explicit, violent, libelous, obscene, hateful, abusive, or otherwise objectionable, as well as links to other websites or resources that contain such Content. Despite this prohibition, information provided by other Members may contain for example inaccurate, inappropriate, offensive or sexually explicit Content, and you acknowledge that WBSmates assumes no responsibility or liability for this Content. It is not permitted to post Content with any automated use of the system, such as for example using scripts to send messages.

Any Content is the property and responsibility of the respective Member(s) and not of WBSmates. You expressly agree that under absolutely no circumstances will WBSmates be liable in any way for any Content, including but not limited to, any error or omissions in any Content, or any loss or damage of any kind incurred as a result of the use of any Content posted, transmitted, or otherwise distributed through the Website and/or Services. You acknowledge that it is your responsibility to evaluate the accuracy, completeness, or usefulness of any information, opinion, advice, or other Content available through the Website and/or Services.

WBSmates reserves the right, in its sole discretion, to reject, refuse to post, or remove any Content posted by you, including your personal profile, and/or to restrict, suspend, or terminate your Account, for any or no reason, with or without prior notice, and without liability.

Photos

It is not permitted to post to the Website and/or Services any photographs of another person without that person’s consent.

Links to Third Party Websites

The Website and/or Services may contain links to other websites controlled by parties other than WBSmates. You acknowledge and agree that WBSmates does not endorse and is not responsible or liable for any contents, accuracy or use of these websites, and such websites are in no way investigated, monitored or checked for accuracy or completeness by WBSmates. You acknowledge and agree that WBSmates shall not be responsible or liable, directly or indirectly, for any loss or damage caused by or in connection with the use of such websites. If you choose to access a third party website linked to from the Website and/or Services, it is solely at your own risk.

Commercial Advertising

It is not permitted to post any commercial advertisements, including but not limited to service or product offerings and job advertisements, to the Website and/or Services, without the express written permission by WBSmates. You acknowledge and agree that WBSmates takes no responsibility for third party advertisements which are posted on the Website or through the Services, nor does it take any responsibility for the goods or services provided by its advertisers, and related warranties, terms, and conditions. You agree that WBSmates shall not be responsible or liable for any loss or damage whatsoever incurred as the result of any such dealings, or presence of third party advertisements on the Website.

Content Review

You agree that WBSmates reserves the right, but not obligation, to review any Content posted to the Website and/or Services and we may refuse, delete, modify, or move any Content at any time, for any or no reason, with or without prior notice, and without liability.

You understand and acknowledge that WBSmates acts only as a passive conduit for the online publication of Content submitted by Members, on the Website and/or Services, and is not responsible for reviewing, approving, screening or monitoring of Content posted by Members.

Service

WBSmates may suspend the Website and/or Services for any reason whatsoever, including but not limited to, repairs, planned maintenance or upgrades, and will not be liable to you for any such suspension.

WBSmates reserves the right to make any changes to the Website and/or Services or to discontinue, temporarily or permanently, any functionality or feature of the Website and/or Services with or without prior notice, and will not be liable to you for any such change.

WBSmates reserves the right to impose limits on certain functions and features of the Website and/or Services and/or limit access to selected elements or to the entire Website and/or Services, temporarily or permanently, with or without prior notice, and will not be liable to you for any such change.

WBSmates reserves the right to refuse service to anyone for any reason at any time.

Security Measures

We do our best to secure the Website, Services, and your personal information from unauthorized or malicious users. We have several physical and electronic security measures in place to protect personal information and the network. As an example our servers are located in European Union in a secure data center, protected by several physical and electronic measures. Your personal data on regular basis are backed up and stored in a different secure location.

Unfortunately transmission of data via the internet is never completely secure. We cannot guarantee that unauthorized or malicious users will not defeat these security measures that we have in place. We cannot warrant the security of any information transmitted to us over the internet and we accept no liability for any unintentional disclosure of your personal information.

WBSmates reserves the right at any time in its sole and exclusive discretion to block certain IP addresses from accessing the Website and/or Services, temporarily or permanently, with or without prior notice, and will not be liable to you for any introduction of such measure.

Personal Data

By using the Website and/or Services you authorize WBS Mates Spółka z ograniczoną odpowiedzialnością, headquartered at Kiedacza 24 d, 02-776 Warsaw, Poland, to process your personal data in order to operate WBSmates social network.

You acknowledge that you have been informed about your rights to access and alter your data at any time, and you represent and warrant that any submission of your personal data to the Website and/or Services is voluntary. Obligation to Indemnify

You agree to indemnify, defend and hold WBSmates and its licensors, parents, subsidiaries, affiliates, directors, officers, agents, employees, owners, and partners, harmless from and against any claim, liability or demand, including reasonable attorneys' fees, made by any third party due to or arising out of your use of the Website and/or Services, Content you post or otherwise make available through the Website and/or Services, your violation of this Agreement, or your violation of any rights of another party, including but not limited to privacy rights, publicity rights, copyrights, contract rights, trademark rights or any other rights of any person or entity.

Disclaimer of Warranties

YOU EXPRESSLY UNDERSTAND AND AGREE THAT YOUR USE OF THE WEBSITE AND ITS RELATED SERVICES IS AT YOUR SOLE RISK. WBSMATES EXPRESSLY DISCLAIMS ALL WARRANTIES OF ANY KIND, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGMENT. THE WEBSITE AND ITS RELATED SERVICES ARE PROVIDED ON AN 'AS IS' AND 'AS AVAILABLE' BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESSED OR IMPLIED.

WBSMATES DOES NOT REPRESENT OR WARRANT THAT THE WEBSITE AND/OR SERVICES WILL BE UNINTERRUPTED OR OPERATE ERROR-FREE.

WBSMATES ASSUMES NO RESPONSIBILITY FOR ANY INTERRUPTION, ERROR, OMISSION, ALTERATION, DEFECT, DELETION, DESTRUCTION, FAILURE, DELAY IN TRANSMISSION, THEFT OR UNAUTHORIZED OR MALICIOUS ACCESS TO ANY MEMBER COMMUNICATION.

WBSMATES DOES NOT REPRESENT OR WARRANT THAT THE WEBSITE AND/OR SERVICES ARE FREE OF COMPUTER VIRUSES, TROJANS, CORRUPTED DATA, OR OTHER HARMFUL SOFTWARE OR MECHANISMS.

WBSMATES DOES NOT REPRESENT OR WARRANT THAT THE WEBSITE AND/OR SERVICES WILL MEET YOUR REQUIREMENTS.

Limitation of Liabilities

YOU EXPRESSLY UNDERSTAND AND AGREE THAT WBSMATES SHALL NOT BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY DIRECT, INDIRECT, CONSEQUENTIAL, INCIDENTAL, SPECIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO LOST PROFIT OR REVENUE DAMAGES, DAMAGES FOR LOSS OF DATA, GOODWILL, USE, OR ANY OTHER INTANGIBLE LOSSES, EVEN IF WBSMATES HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES, ARISING FROM YOUR USE OR THE INABILITY TO USE THE WEBSITE AND/OR SERVICES, UNAUTHORIZED OR MALICIOUS ACCESS TO OR ALTERATION OF YOUR CONTENT, CONDUCT OF ANY MEMBER OR THIRD PARTY ON THE WEBSITE AND/OR SERVICES, THE COSTS OF PROCUREMENT OF ANY SUBSTITUTE PRODUCTS OR SERVICES, OR ANY OTHER MATTER RELATING TO THE WEBSITE AND/OR SERVICES.

REGARDLESS OF THE PREVIOUS PARAGRAPH, IF WBSMATES IS FOUND TO BE LIABLE FOR ANY LOSS OR DAMAGE WHATSOEVER AND REGARDLESS OF THE FORM OF THE ACTION, OUR LIABILITY TO YOU OR TO ANY THIRD PARTY WILL AT ALL TIMES BE ABSOLUTELY LIMITED TO THE TOTAL AMOUNT PAID, IF ANY, BY YOU TO WBSMATES FOR THE SERVICES DURING TERM OF MEMBERSHIP.

Abuse

Verbal, physical, written or other abuse (including threats of abuse or retribution) of any WBSmates Member, employee, or customer might result in immediate Account termination.

Children

WBSmates network is not intended for anyone under 18 years of age. You hereby represent and warrant that you are at least 18 years of age.

Mail Communication

By signing up to WBSmates you agree to receive mail information about the events in your network, including invitations, notifications, confirmations, and other types of information. This communication will be sent to your email address provided during the sign up. You can change this email address using “Edit my profile” function. We do not disclose your personal email to other WBSmates Members, and we do not sell or provide it to any third parties for marketing purposes. Mails from WBSmates in most of the cases will be sent from wbs@wbsmates.com mail address, and therefore it is recommended to add this email address to your safe-list or contact list, in order to avoid the situation when legitimate WBSmates communication will be recognized as spam.

Termination of Services

At any time you have the right to terminate using WBSmates and delete your Account. You can delete your Account using “Edit my profile – Delete profile” function. Deletion of your Account will cause the loss of Content and features of your Account. WBSmates does not accept any liability for such loss.

Fees

Standard WBSmates Membership is free of charge. You acknowledge and agree that WBSmates may establish certain limits concerning free of charge use of the Website and/or Services, including but not limited to, the maximum volume of data transferred in a given period of time, maximum number of search results, or maximum number of posts in a given period of time.

You acknowledge that WBSmates reserves the right to charge for the Premium Membership and to change its fees from time to time in its discretion. If your Membership is terminated because you have breached the Agreement, you shall not be entitled to the refund of any unused portion of subscription fees.

Feedback

Any feedback, constructive or critical, is welcome.  You can submit your feedback about the Website and/or Services by sending an email to feedback@wbsmates.com. Any feedback that you submit becomes our property, and we may use such feedback to improve, enhance or modify the Website and/or Services, for marketing purposes, or to contact you for further information.

Disputes

If there is any dispute about or involving the Website and/or Services, you agree that the dispute shall be governed by the laws of Republic of Poland without regard to conflict of law provisions and you agree to exclusive jurisdiction and venue in the courts of Republic of Poland located in Warsaw. Either WBSmates or you may demand that any dispute between WBSmates and you about or involving the Website and/or Services must be settled by mediation and/or arbitration utilizing the procedures of Court of Arbitration at the Polish Chamber of Commerce in Warsaw, Poland.

Jurisdiction

This Agreement shall be interpreted and construed according to, and governed by, the laws of the Republic of Poland, excluding any such laws that might direct the application of the laws of another jurisdiction. The law of the Republic of Poland and Polish Court shall be the governing jurisdiction.

Changes to WBSmates Terms of Service

WBSmates reserves the right to update these Terms from time to time without prior notice, and such modification shall be effective upon posting by WBSmates on the WBSmates.com Website. You agree to be bound to any changes to this Agreement when you use the Website and/or Services after any such modification is posted.
